Terms of Service — TFMC Digital

Welcome, and thank you for your interest in TFMC Digital ("TFMC," "Creator," "we," "us," or "our") and our website at tfmcdigital.com, provided through Fourthwall (the "Service"). These Terms of Service are a legally binding contract between you and TFMC Digital regarding your use of the Service and any purchase of our products.

PLEASE READ THE FOLLOWING TERMS CAREFULLY.

BY CLICKING "I ACCEPT," OR BY OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING TFMC DIGITAL'S PRIVACY POLICY (TOGETHER, THESE "TERMS"). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE.

1. Service Overview

TFMC Digital creates and sells digital creative tools and assets for video editors, colorists, and creators, including but not limited to DaVinci Resolve Fusion plugins ("Fuses"), digital asset packs, and related digital products (collectively, "Products"). All Products are delivered digitally; TFMC Digital does not sell or ship physical goods unless expressly stated otherwise on a specific product page.

2. Eligibility

You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 13 years old; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws and regulations. If you are purchasing on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

3. Accounts and Registration

Certain features of the Service (such as saved purchase history or membership access, if offered) may require you to register for an account and provide accurate contact information, which you agree to keep up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. If you believe your account has been compromised, notify us immediately at info@tfmcdigital.com.

4. Payment Terms

Purchase of any Product may require payment of fees, shown to you in your local currency (or USD, where applicable) before you complete checkout. You authorize TFMC Digital and its third-party payment processor(s) to charge your specified payment method for all sums due, including applicable taxes.

Pricing. TFMC Digital determines pricing for all Products and may change prices at any time; changes will not affect an order already completed. We may run promotions or discounts at our sole discretion, which apply only as stated at the time of the offer.

VAT. Prices will indicate whether VAT is included where TFMC Digital is required to charge it. If TFMC Digital is not currently VAT-registered, no VAT will be added to your order; this may change if we become VAT-registered in future, in which case pricing will be updated accordingly.

Memberships (if applicable). If TFMC Digital offers a subscription or membership product, it will auto-renew and bill on a recurring basis until you cancel. You can cancel at any time via your account or by emailing info@tfmcdigital.com; cancellation takes effect at the end of the current billing period.

5. Digital Delivery

Products are delivered electronically — typically via instant download link or download access within your account — immediately or shortly after your payment is confirmed. It is your responsibility to ensure you have compatible software (e.g., the correct version of DaVinci Resolve/Fusion) and a stable internet connection to complete the download. TFMC Digital is not responsible for delivery issues caused by your device, software incompatibility, or internet connectivity.

6. Your Right to Cancel and Refunds (UK/EU Consumers)

If you are a consumer based in the UK or EU, you normally have a legal right to cancel a purchase within 14 days without giving a reason (the "cooling-off period"), under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

However, because our Products are supplied as digital content delivered immediately on payment, this cancellation right does not apply once download or access has begun — provided that:

• you have given your express consent to us beginning delivery immediately, and
• you have acknowledged that doing so means you lose your right to cancel.

You provide this consent and acknowledgment by ticking the relevant box (or equivalent) at checkout before completing your purchase. If you do not consent, do not complete the purchase, or contact us at info@tfmcdigital.com first.

Defective Products. Regardless of the above, if a Product is faulty, not as described, or does not function as intended, you retain your statutory rights under the Consumer Rights Act 2015, and we will offer a fix, replacement, or refund as appropriate, free of charge, within a reasonable time. Contact info@tfmcdigital.com with details of the fault.

Non-UK/EU customers. If local law in your jurisdiction grants you additional or different rights, those apply in addition to this section.

7. License to Use TFMC Digital Products

7.1 License Grant. Subject to your full payment and ongoing compliance with these Terms, TFMC Digital grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Fuses and other digital Products you have purchased:

• in your own personal and commercial video/creative projects (including paid client work), and
• installed and used on the number of devices reasonably needed for your own work,

for as long as you comply with these Terms.

7.2 What You May Not Do. Unless we expressly agree in writing, you may not:

• resell, sublicense, rent, lease, or otherwise transfer the Product files themselves (as opposed to projects you've made using them) to any third party;
• redistribute, share, or upload the raw Product files (e.g. the Fuse scripts or asset source files) to any other website, marketplace, file-sharing service, or asset pack, whether for free or for payment;
• claim authorship of the Products themselves or represent that you created the underlying tool;
• reverse engineer, decompile, or modify the Products in order to create and distribute a competing product; or
• circumvent any licensing, activation, or access-control mechanism we use.

7.3 Finished Work Is Yours. Nothing in this section restricts your ownership or use of the finished videos, edits, or other creative output you produce using our Products — only the underlying Product files themselves remain subject to this license.

8. Feedback

If you send us feedback, bug reports, or suggestions about our Products or Service, you grant TFMC Digital an unrestricted, perpetual, irrevocable, royalty-free right to use that feedback for any purpose, including improving or creating new Products, without any obligation to compensate or credit you.

9. Ownership; Intellectual Property

The Service, and all Products, software, designs, branding, and other materials made available through it (the "Materials"), are owned by TFMC Digital or its licensors and are protected by intellectual property law. Except for the limited license granted in Section 7, no rights to the Materials are transferred to you, and TFMC Digital reserves all rights not expressly granted.

10. Prohibited Conduct

By using the Service, you agree not to:

• use the Service for any illegal purpose or in violation of applicable law;
• infringe or misappropriate any third party's intellectual property or other rights;
• disable, circumvent, or attempt to bypass any security, licensing, or access-control feature of the Service or Products;
• upload or transmit viruses, malware, or other harmful code;
• impersonate any person or entity, or misrepresent your affiliation with TFMC Digital;
• access another user's account without authorization; or
• assist or encourage anyone else in doing any of the above.

11. Modification of These Terms

We may update these Terms from time to time. Where changes are material, we will make reasonable efforts to notify you (e.g. via email or a notice on the Service) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including a violation of these Terms. You may stop using the Service, or close your account, at any time. Sections relating to intellectual property, license restrictions, indemnity, disclaimers, limitation of liability, and governing law survive termination.

13. Modification or Discontinuation of the Service

We may modify, suspend, or discontinue the Service, or any Product, at any time, with or without notice, and will have no liability for doing so — though we'll make reasonable efforts to honor licenses already purchased.

14. Indemnity

To the fullest extent permitted by law, you agree to defend and indemnify TFMC Digital and Fourthwall from any third-party claim, liability, damage, or expense (including reasonable legal fees) arising from your misuse of the Service, breach of these Terms, or violation of any third party's rights. This does not affect any liability which cannot be excluded or limited under applicable consumer protection law.

15. Disclaimers

THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT WHERE SUCH DISCLAIMER IS NOT PERMITTED BY LAW, INCLUDING YOUR STATUTORY RIGHTS AS A CONSUMER UNDER THE CONSUMER RIGHTS ACT 2015 WHICH ARE NOT AFFECTED BY THESE TERMS. WE DO NOT GUARANTEE THE SERVICE OR PRODUCTS WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH EVERY SYSTEM CONFIGURATION.

TFMC DIGITAL PROVIDES ITS PRODUCTS THROUGH FOURTHWALL, BUT ANY PURCHASE AND THESE TERMS ARE SOLELY BETWEEN YOU AND TFMC DIGITAL. FOURTHWALL IS NOT A PARTY TO THESE TERMS AND HAS NO LIABILITY FOR YOUR USE OF THE SERVICE OR PRODUCTS.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TFMC DIGITAL'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE OR PRODUCTS WILL NOT EXCEED THE AMOUNT YOU PAID TFMC DIGITAL IN THE 12 MONTHS BEFORE THE CLAIM AROSE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING YOUR STATUTORY RIGHTS AS A UK CONSUMER.

17. Governing Law

These Terms are governed by the laws of England and Wales. If you are a consumer, you may bring proceedings in the courts of the part of the UK in which you live, or the courts of England and Wales; TFMC Digital will bring proceedings against you only in the courts of the jurisdiction in which you live. If you contract with us as a business rather than a consumer, the courts of England and Wales will have exclusive jurisdiction.

18. General Terms

These Terms, together with our Privacy Policy and any other terms referenced here, are the entire agreement between you and TFMC Digital regarding the Service. You may not assign these Terms without our written consent; we may assign them freely. If any part of these Terms is found unenforceable, the rest remains in effect. Section headers are for convenience only.

19. Privacy Policy

Please review our Privacy Policy, which explains how we collect, use, and protect your personal information in accordance with UK GDPR and the Data Protection Act 2018, and which is incorporated into these Terms by reference.

20. Consent to Electronic Communications

By using the Service, you consent to receive certain communications from us electronically (e.g. order confirmations, download links, policy updates). These communications satisfy any requirement that such notices be in writing.

21. International Use

TFMC Digital's Products are digital and generally available for purchase and download internationally. It is your responsibility to ensure that purchasing and using our Products is lawful in your location; access from countries or by individuals where such access is prohibited by law is not permitted.
